IMPORTANT: By accessing this website or engaging Cross Bronx Studio for any service, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in full. These terms constitute a legally binding agreement. If you do not agree, you must not use this website or engage our services.


These Terms and Conditions govern your access to and use of crossbronxstudio.com, and apply to all services, engagements, and dealings with Cross Bronx Theatrical Production and Cross Bronx Project Management, both sole establishments registered in Dubai, United Arab Emirates under the Department of Economy and Tourism, Dubai, and together trading as "Cross Bronx Studio" ("CBS", "we", "our", or "us").

1. Identity of the Operator

This website is operated by Cross Bronx Theatrical Production (E-Trader Licence No. 1448482, sole establishment) and Cross Bronx Project Management (Trader Licence No. 1581338, sole establishment), both registered with the Department of Economy and Tourism, Dubai, UAE, under the sole proprietorship of Satya Baskaran (Satyanarayana Baskaran Iyer Subramanyam Baskaran). Neither entity is a limited liability company. Both entities are referred to collectively as "Cross Bronx Studio" or "CBS" in these terms.

2. Formation of Agreement and Acceptance of Terms

These Terms and Conditions become binding on you in any of the following circumstances, whichever occurs first:

  • Your continued navigation of this website beyond the landing page, following display of or access to a link to these Terms and Conditions

  • Your submission of any enquiry, contact form, expression of interest, or other communication to CBS through this website or any linked platform

  • Your entry into any oral or written discussion with CBS regarding a potential service engagement

  • Your acceptance of a service proposal, letter of engagement, or any form of service agreement with CBS

You confirm that you have the legal capacity to enter into a binding agreement, that you are at least 18 years of age, and that you are acting on your own behalf or with full authority to bind any organisation on whose behalf you are acting.

These Terms and Conditions apply to individuals and organisations alike. Where you engage CBS on behalf of a company or other legal entity, you personally warrant that you have authority to bind that entity and that the entity accepts these terms.

3. Territorial Scope and Cross-Border Engagements

These Terms and Conditions are intended to apply to all persons who access this website or engage CBS, regardless of their country of residence or the country in which any engagement is performed, wholly or in part. Where you are located in a jurisdiction outside the UAE, you acknowledge that:

  • You are voluntarily accessing a website operated from the UAE and subject to UAE law

  • You accept the governing law and jurisdiction provisions in Section 17 of these terms as a condition of access

  • Where a service engagement is performed partly or wholly outside the UAE, these terms nonetheless apply as the primary contractual framework unless a separate written agreement expressly and specifically provides otherwise

CBS does not represent that this website or its content complies with the laws of any jurisdiction outside the UAE. If accessing this site from a jurisdiction where any part of these terms or our services is restricted or prohibited, you do so at your own risk and responsibility.

4. Use of This Website

4.1 Permitted Use

You may use this website for lawful purposes in connection with your genuine interest in CBS's services and content. You agree not to:

  • Use the site in any manner that is unlawful, harmful, fraudulent, defamatory, harassing, or in violation of any applicable law or regulation

  • Attempt to gain unauthorised access to any part of the site, its underlying systems, servers, or databases

  • Reproduce, distribute, transmit, publish, modify, or commercially exploit any content from this site without our prior written consent

  • Use automated tools, bots, scrapers, crawlers, or any data extraction technology to access, index, copy, or aggregate content from this site for any purpose

  • Transmit unsolicited commercial communications or use the site to harvest contact information

  • Engage in conduct that imposes a disproportionate load on our infrastructure or interferes with the operation of the site

  • Misrepresent your identity or affiliation in any communication with CBS

4.2 Site Availability

CBS does not warrant that this website will be available at all times, free from errors, or free from security vulnerabilities. We reserve the right to withdraw, suspend, or modify the site at any time without notice. CBS shall have no liability for any loss resulting from unavailability, modification, or suspension of the site.

5. Intellectual Property

5.1 Ownership and Scope

All content on this website, including without limitation text, copy, scripts, coaching methodologies, program structures and frameworks, session designs, brand assets, logos, images, video recordings, audio recordings, graphic design, visual layouts, and any other material produced by or for CBS (collectively, "CBS Content"), is the exclusive property of Cross Bronx Studio or our duly licensed collaborators, and is protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

Nothing on this site grants any licence, right, or interest in CBS Content unless CBS has provided explicit prior written authorisation. Unauthorised use — including reproduction, modification, adaptation, distribution, or commercial exploitation — may constitute infringement giving rise to civil liability, injunctive relief, and damages including costs of enforcement.

5.2 Prohibition on AI and Automated Extraction

The following are expressly and unconditionally prohibited without CBS's prior written consent:

  • Scraping, crawling, or otherwise extracting any content from this website by automated means, regardless of the purpose

  • Using any CBS Content — including text, copy, frameworks, methodologies, scripts, designs, or brand materials — to train, fine-tune, test, evaluate, benchmark, or develop any AI system, machine learning model, large language model, or data aggregation product

  • Inputting CBS Content into any generative AI system in a way that enables replication, synthesis, or reconstruction of CBS's intellectual property

  • Using AI-generated outputs based on CBS Content to compete with, replace, or substitute CBS's services in any market

Any breach of these prohibitions constitutes a material infringement of CBS's intellectual property rights and an actionable breach of these Terms and Conditions. CBS will seek, without limitation, injunctive relief to restrain ongoing breach, damages assessed by reference to the commercial value of the infringed rights, and full recovery of legal costs on an indemnity basis. The commercial value of CBS's proprietary methodologies and content is significant; damages claimed will reflect that value.

5.3 Commissioned and Collaborative Work

Where CBS produces deliverables as part of a service engagement, ownership is governed by the relevant service agreement. In the absence of express written agreement to the contrary, all intellectual property in materials created by CBS — including session frameworks, program designs, presentations, and scripts — remains the property of CBS. Clients receive a limited, non-transferable, non-sublicensable licence to use specific agreed deliverables for the purposes defined in the service agreement.

Where work is created collaboratively with external artists, directors, writers, or creative contributors, intellectual property rights, credits, and permissions will be governed exclusively by the written collaboration agreement executed prior to commencement. No verbal agreement, course of dealing, or implied term shall override a written collaboration agreement.

6. Image, Likeness, and Production Consent

6.1 Pre-Participation Notice

This clause constitutes advance notice to all individuals who participate in CBS productions, workshops, events, or programs. By participating, you acknowledge that you have read this clause and provide the consent described below. This notice is provided in advance so that no participant can claim to have been unaware of CBS's use of images and recordings.

6.2 Scope of Consent for Production Participants

Where any individual participates in a CBS theatrical production, film production, short-form content, workshop, live event, or any other creative activity produced, co-produced, or facilitated by CBS — whether as a performer, collaborator, crew member, or featured participant — they grant CBS, by virtue of their participation and their acknowledgment of this notice, a non-exclusive, royalty-free, perpetual, worldwide licence to use photographs, video recordings, audio recordings, and other media capturing their image, voice, name, and likeness taken in connection with that production or activity, for:

  • Promotional and marketing materials for CBS and for any relevant production, across all media including this website, social media channels, print, and press

  • Press releases, media coverage, and editorial content in connection with the production or CBS as a company

  • Documentation, archival, and portfolio records of the production

  • Case study, educational, and business development use in connection with CBS's client-facing materials and proposals

This licence is granted as a condition of participation. Where a participant wishes to exclude or limit this consent, they must provide written notice to CBS at the email address below no later than 48 hours before the date of their participation. CBS will not use the image or likeness of any participant who has provided valid written exclusion notice beyond what is necessary to document the production for internal archival purposes.

This consent does not extend to use of a participant's image in a manner that is defamatory, deliberately misleading, or unconnected to CBS's professional and creative activities.

6.3 Third-Party Images

Where CBS uses images or recordings of individuals who are not production participants — including testimonials, voluntarily submitted headshots, or attendee photographs from public events — we obtain specific prior consent from those individuals before publication. If you believe your image has been used without appropriate consent, contact us immediately at info@crossbronxstudio.com and we will review and respond within five business days.

7. Services and Engagements

7.1 No Binding Commitment from Website Enquiry

An enquiry, contact form submission, or expression of interest submitted through this website does not create any contractual relationship or obligation. All engagements are subject to a separate written agreement, signed by an authorised representative of CBS, before any work commences. No verbal representation, email exchange, or preliminary discussion constitutes a binding commitment unless captured in a signed written agreement. CBS reserves the right to decline any enquiry at its sole discretion.

7.2 Corporate Programs

Engagements under the Magnetic Presence program, bespoke corporate workshops, learning and development partnerships, and other corporate services are individually scoped and priced per engagement. Pricing communicated verbally or informally does not constitute a binding offer. All fees, deliverables, timelines, and terms are confirmed exclusively in a signed service agreement.

7.3 Production and Creative Engagements

Expressions of interest in participating in or co-producing a CBS production do not create any right to involvement, credit, compensation, or intellectual property interest, unless confirmed in a signed production agreement. CBS retains full creative and editorial control over all productions it originates or leads, unless expressly agreed otherwise in writing.

7.4 Fees, Payment, and Late Payment

Fees are specified in each service agreement. Unless otherwise agreed in writing, invoices are payable in full within the number of days stated on the invoice. CBS reserves the right to:

  • Charge interest on overdue amounts at 5% above the UAE Central Bank base rate, accruing daily from the due date until receipt of cleared funds

  • Suspend or terminate services without liability upon non-payment after written notice

  • Recover all costs of enforcement including reasonable legal fees on an indemnity basis

Deposits and advance payments are non-refundable except as expressly provided in the relevant service agreement.

7.5 Cancellation and Rescheduling

Cancellation and rescheduling terms are set out in each service agreement. In the absence of specific written agreement:

  • Cancellation more than 14 days before a scheduled engagement: CBS will refund any deposit paid, less a reasonable administration fee

  • Cancellation within 14 days of a scheduled engagement: CBS retains 100% of any deposit paid

  • Rescheduling requests are subject to availability and CBS's sole discretion, and do not affect payment obligations for work already commenced

8. Confidentiality

Each party acknowledges that in the course of an engagement, it may receive information that is confidential to the other. The following obligations apply to both parties for a period of three years from the date of disclosure, and without time limit in respect of trade secrets:

  • Each party will hold the other's confidential information in strict confidence and will not disclose it to any third party without prior written consent

  • Each party will use the other's confidential information solely for the purpose of the relevant engagement

  • These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party can demonstrate was independently developed or lawfully received from a third party without restriction

CBS's proprietary methodologies, pricing structures, program designs, strategic frameworks, and unpublished creative materials constitute CBS confidential information regardless of whether they are expressly marked as such. A client's internal business information shared in the course of an engagement constitutes client confidential information.

Breach of confidentiality obligations may cause irreparable harm for which damages are an inadequate remedy. CBS reserves the right to seek injunctive relief without bond in any court of competent jurisdiction in addition to any other available remedy.

9. Limitation of Liability

9.1 Consumer and Business Distinction

Where you engage CBS as a business or professional entity (a B2B engagement), the limitations in this Section apply in full. Where you engage CBS as a private individual consumer, nothing in this Section excludes any rights you may have under applicable consumer protection law in the UAE that cannot lawfully be excluded; all other limitations apply to the extent permitted by law.

9.2 Excluded Losses

To the maximum extent permitted by applicable UAE law, CBS excludes all liability for:

  • Loss of profits, revenue, anticipated savings, business opportunity, or goodwill

  • Loss or corruption of data or software

  • Indirect, consequential, special, incidental, or punitive losses of any nature

  • Any loss arising from reliance on website content, including information about services, pricing, or availability

  • Any loss arising from website unavailability, suspension, or modification

  • Any loss arising from the acts or omissions of any third-party data processor, platform, or service provider

9.3 Aggregate Liability Cap

To the fullest extent permitted by law, CBS's total aggregate liability to you, howsoever arising — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the total fees actually paid by you to CBS under the specific engagement giving rise to the claim in the twelve months immediately preceding the event giving rise to liability. Where no fees have been paid (e.g. for a website visitor with no active engagement), CBS's total liability shall not exceed AED 500.

9.4 Non-Excluded Liability

Nothing in these Terms and Conditions excludes or limits CBS's liability for: fraud or fraudulent misrepresentation; death or personal injury resulting from negligence; or any other liability that cannot lawfully be excluded under applicable UAE law.

10. Indemnification

You agree to indemnify, defend, and hold harmless CBS, its founders, officers, artists, collaborators, contractors, and agents (each an 'Indemnified Party') from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable legal fees on an indemnity basis) arising out of or in connection with:

  • Your use of this website in breach of these Terms and Conditions

  • Your violation of any applicable law or regulation

  • Any claim that content or materials you have provided to CBS infringe any third-party intellectual property, privacy, or other right

  • Your breach of any representation, warranty, or obligation under these terms or any service agreement with CBS

  • Any claim brought against an Indemnified Party by a third party arising from your conduct

This indemnification obligation survives termination of any engagement and termination or expiry of these Terms and Conditions.

11. Warranties and Representations

CBS makes no representations or warranties, express or implied, as to the accuracy, completeness, fitness for purpose, or reliability of any content on this website. All content is provided on an 'as is' and 'as available' basis.

You represent and warrant that: you have the legal capacity and, where applicable, corporate authority to enter into these Terms and Conditions; all information you provide to CBS is accurate, complete, and not misleading; you will not use this website or CBS's services for any unlawful purpose; and you will not engage in any conduct designed to circumvent these terms.

12. Artificial Intelligence — Prohibited Uses

In addition to the intellectual property restrictions in Section 5.2, you agree that you will not:

  • Submit AI-generated applications, proposals, creative submissions, or credentials to CBS without clear prior disclosure that the content was AI-generated, where the origin of the content is material to CBS's assessment

  • Deploy AI tools to generate content that impersonates CBS, Satya Baskaran, or any CBS artist, or that misrepresents CBS's methodologies, services, or positions

  • Use AI tools to replicate, reconstruct, or reverse-engineer CBS methodologies, program structures, coaching frameworks, or proprietary creative content, whether based on website content, published materials, or information encountered in a service engagement

  • Use AI-generated analysis or synthesis of CBS's confidential information to compete with, undermine, or circumvent CBS in any market

Breach of these provisions constitutes a material breach entitling CBS to immediate termination of any engagement, recovery of all fees paid as damages, and pursuit of injunctive relief, costs on an indemnity basis, and any other available remedy.

13. Force Majeure

CBS shall not be liable for any failure or delay in performing obligations where such failure or delay arises from circumstances genuinely beyond our reasonable control, including acts of God, pandemic, epidemic, government action, civil unrest, war, terrorism, power failure, or telecommunications failure. CBS will notify you promptly of any force majeure event affecting delivery and will use reasonable endeavours to mitigate its effects and resume performance as soon as practicable.

If a force majeure event prevents CBS from performing for more than 30 consecutive days, either party may terminate the relevant engagement by written notice without further liability, save that CBS shall refund any fees paid in advance for services not yet delivered (less a reasonable proportion for any preparatory work completed).

14. Modification of Terms

We reserve the right to update these Terms and Conditions at any time. The version published on crossbronxstudio.com is the operative version. Changes take effect from the date of publication and apply to all new engagements and website use from that date. Changes do not apply retrospectively to engagements already commenced under a signed service agreement, which remain governed by the terms in force at the time of signing. Where changes are material, we will make reasonable efforts to provide advance notice. Continued use of the website following publication of changes constitutes acceptance of the revised terms for future activities.

15. Severability

If any provision of these Terms and Conditions is found by a court or competent authority to be invalid, unenforceable, or illegal under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remainder of these Terms and Conditions shall continue in full force and effect as though the invalid provision had not been included.

16. Waiver

No failure or delay by CBS in exercising any right or remedy under these Terms and Conditions shall be construed as a waiver of that right or remedy. A single or partial waiver does not constitute a waiver of any subsequent breach or of any other right. No waiver is effective unless made in writing and signed by an authorised representative of CBS.

17. Governing Law and Jurisdiction

These Terms and Conditions, and all disputes arising from or related to them or to any engagement with CBS, are governed exclusively by the laws of the United Arab Emirates as applied in Dubai, United Arab Emirates. The parties irrevocably submit to the exclusive jurisdiction of the courts of Dubai, UAE, for resolution of all disputes.

Nothing in this clause prevents CBS from seeking urgent or interim injunctive relief in any court of competent jurisdiction worldwide — including injunctions to restrain intellectual property infringement, misuse of confidential information, or breach of the AI and automated extraction prohibitions — without that being inconsistent with the exclusive jurisdiction of the Dubai courts for the underlying substantive dispute. CBS reserves the right to enforce any judgment obtained in Dubai in any jurisdiction where you or your assets are located.

18. Dispute Resolution

In the event of a dispute, the parties agree to attempt resolution through the following staged process:

  • Step 1 — Written notice: the aggrieved party sends a detailed written notice of the dispute to the other party by email, setting out the nature of the claim and the remedy sought.

  • Step 2 — Good faith negotiation: the parties engage in good faith direct negotiation for a period of 30 calendar days from receipt of the written notice. Both parties commit to making a genuine effort to resolve the matter at this stage.

  • Step 3 — Escalation: if the dispute is not resolved within the 30-day period, either party may commence formal proceedings before the courts of Dubai as specified in Section 17.

This staged process does not apply to applications for urgent injunctive relief, which may be sought at any time without prior notice where delay would cause irreparable harm.

19. Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any signed service agreement with CBS, constitute the entire agreement between you and CBS with respect to the subject matter herein and supersede all prior understandings, representations, negotiations, and agreements, whether written or oral. No term proposed by you — whether in a purchase order, brief, or other document — shall be incorporated into any agreement with CBS unless expressly accepted in writing by an authorised representative of CBS.
